Terms of Service.

Last Updated: July 2026

Welcome to Parallax Labs. These Terms of Service ("Terms") govern your access to and use of our website (parallaxlab.site) and our digital agency services, including software development, UI/UX design, AI/ML engineering, and consulting (collectively, the "Services"). By engaging with Parallax Labs, you agree to be bound by these Terms.

1. Engagement and Scope of Work

  • Service Agreements: All professional services provided by Parallax Labs will be governed by a specific, mutually agreed-upon Statement of Work (SOW) or Master Service Agreement (MSA). The SOW will detail project scope, deliverables, timelines, and costs.
  • Change Requests: Any changes to the scope of work outside the agreed SOW must be submitted in writing and may result in adjustments to the project timeline and budget.

2. Fees and Payment Terms

  • Invoicing: Clients agree to pay for Services as stipulated in their specific SOW. Unless otherwise agreed, invoices are due within the timeframe specified on the invoice.
  • Late Payments: Parallax Labs reserves the right to suspend work or withhold deliverables if payments are delayed beyond the agreed-upon grace period.
  • Taxes: Clients are responsible for any applicable local, state, or federal taxes associated with the Services provided.

3. Intellectual Property Rights

  • Agency Content: All pre-existing tools, libraries, frameworks, methodologies, and content on our website remain the exclusive intellectual property of Parallax Labs.
  • Client Deliverables: Upon receipt of full and final payment, Parallax Labs transfers all intellectual property rights for the custom deliverables (e.g., custom code, final design assets) to the Client, unless specifically stated otherwise in the SOW.
  • Portfolio Rights: Parallax Labs retains the right to use non-confidential elements of completed projects in our portfolio, case studies, and marketing materials, unless a specific Non-Disclosure Agreement (NDA) supersedes this right.

4. Confidentiality and NDA

Parallax Labs respects the confidentiality of our clients' business operations. We agree not to disclose sensitive, proprietary, or confidential information shared during the course of an engagement to any third party, except as necessary to fulfill our service obligations or as required by law.

5. Warranties and Disclaimers

  • Standard of Care: We warrant that our Services will be performed in a professional and workmanlike manner, in accordance with industry standards.
  • "As Is" Software: While we strive for excellence, custom software inherently carries risks. After the agreed-upon warranty or bug-fixing period post-launch, deliverables are provided "AS IS." Parallax Labs disclaims any implied warranties of merchantability or fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Parallax Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our Services, even if advised of the possibility of such damages.

7. Termination

Either party may terminate an engagement with written notice if the other party materially breaches these Terms or the SOW and fails to cure the breach within an agreed timeframe. Upon termination, the Client shall pay for all work completed up to the date of termination.

8. Engineering Internship Programs & Workspace Provisioning

  • Educational Scope & Non-Employment: Parallax Labs conducts remote engineering internship cohorts designed for practical skill development. The core educational curriculum, weekly code reviews, and mentorship are provided on an unpaid basis. Participation does not create an employment relationship, partnership, or agency affiliation, and does not guarantee future hiring.
  • Workspace Allocation & Commitment Pass: To prevent resource abandonment and ensure dedicated cloud computing environments, sandbox servers, and mentor hours are reserved exclusively for active participants, Parallax Labs may require accepted applicants to secure a nominal administrative Workspace Activation Pass prior to credential provisioning.
  • Nature of the Activation Pass: The Workspace Activation Pass functions strictly as an operational resource management and commitment verification filter. It does not constitute tuition, academic course fees, or payment for training. Unless granted under an authorized administrative merit waiver, workspace allocation passes are non-refundable once cloud resources and seat licenses are provisioned.
  • Brand Protection & Non-Disparagement: Interns and program participants are strictly prohibited from publicly disseminating misleading representations, unauthorized portal screenshots, confidential support communications, or defamatory statements concerning Parallax Labs or its mentors across any public medium or social network. Violations result in immediate program termination, permanent access revocation, and forfeiture of all credential verification eligibility.

9. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of our operating jurisdiction, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through good-faith negotiation or the appropriate legal venues.
